Increase private bank capital through special offer

Abstract

The current research deals with one of the invented means for increasing the capital of company, which Iraqi law has exclusively adopted for the banking companies. It enables the above-mentioned company to avoid the long, complicated and the sin qua non procedures entailed by the other ways of increasing the companies capital. This rests on the particularity, the banking companies do really have and on the extra-important role they are entrusted to play within the different commercial and financial rooms. This means is represented by the private offering of the shares for the increase of the company capital. For that importance, this research explains the essence of this means, delimiting it, its legal accommodation and stating its marks and attributes. Additionally, the current research includes the studying and analyzing the requirements and procedures of this means .By that, we are motivated to show the shortages and weaknesses of the legal regulation of this means in the Iraqi Law, so that we can afford the suitable solutions to it. The researcher has ultimately, come to a set of findings and recommendations, presenting some recommendations and provisions so as to contribute in finding out the legal redresses, which we aim to deploy for restructuring the current means for the increase of capital of company, as it could be easily practicably applicable.
